서류나 계약서를 다루는 협상의 경우 다음과 같은 사항을 유의하세요.

 

1.    다른 협상에서처럼 협상의 목표와 목적을 협상 시작점에서 명확히 알립니다. 주로 미리 알고 있는 계약내용을 재 확인하는 경우가 대부분이기에 새로운 정보를 소개하기 보다는 계약 혹은 서류내용을 확인하고 서명하기 위한 협상이라는 점을 간단히 밝힙니다.

 

2.    계약 당사자 및 관계자들을 위해 계약서나 서류의 복사본을 미리 준비합니다. 계약 용어 및 법률용어가 많기 때문에 구두로 확인하는 것 보다 직접 계약서나 서류를 참고하면서 설명하는 것이 훨씬 이해하기 쉽습니다. 직접 메모를 하거나 궁금 사항 및 지적 사항을 제기하는데 도움이 됩니다.

 

3.    협상 시작 부분, 계약서나 서류를 살펴보는 시점에서 혼돈하기 쉬운 계약 용어 및 직함 등을 미리 확인합니다. 예를 들어 “In this document, our company is referred to as ‘the Contractor’. 이 서류에서는 우리회사는 ‘계약자’로 표기됩니다” 등으로 용어로 인해 계약 내용에 혼돈이 생기지 않도록 확인합니다.

 

4.    각 조항에서 짚고 넘어가야 할 부분들을 살펴봅니다. 계약서를 단지 줄줄 읽어 내려가는데 그치지 말고 각 조항에서 포인트가 되는 부분을 강조하며 설명하는 것이 중요합니다. 계약서 관련 협상은 단순히 계약을 읽고 서명하는 것이 아니라 요점정리 및 의견 교환 등으로 계약 내용을 숙지하고 쌍방의 동의 하에 서명하는 것이기 때문이죠,

 

5.    중간 중간에 질문이 없는지 이해는 되는지 확인하는 배려를 보이세요. 전문적인 용어가 많은 계약서의 특징상 행간의 의미를 잘못 이해하는 경우도 많기 때문이죠.

 

6.    모든 항목을 살펴 본 후 혹은 부분적으로 계약서 요점을 정리한 후 계약자간 (혹은 대리인) 서명하고 날짜를 기입합니다. 서명한 계약서의 카피를 직접 건네주거나 추가 결제 단계가 필요한 경우 추후 우편으로 보내 줄 것을 확인합니다. 계약 동의 및 서명에 감사의 뜻을 전합니다.
